Website Agreement Terms
INTELLECTUAL PROPERTY
All intellectual property rights in the work product, including the finished website and underlying code, shall belong to the Client. The party retaining ownership grants the other party a non-exclusive license to use the work product.
CONFIDENTIALITY
The Designer agrees not to disclose any confidential information belonging to the Client to any third party.
WARRANTIES AND LIABILITIES
The Designer warrants that the work product will meet the specifications set out in Schedule A and will be provided in a professional manner. The Designer does not warrant that the functions contained in the work product will be uninterrupted or error-free.
LIMITATION OF LIABILITY
In no event shall the Designer be liable to the Client or any third party for any special, indirect, incidental, or consequential damages, including but not limited to loss of profits or data, arising out of or in connection with this Agreement or the Services provided hereunder, even if the Designer has been advised of the possibility of such damages. The total liability of the Designer under this Agreement shall not exceed the total amount actually paid to the Designer by the Client for the Services.
INDEMNIFICATION
Each party agrees to indemnify and hold harmless the other party and its employees from any and all liabilities, claims, or expenses, including legal fees, arising out of their breach of this Agreement.
RELATIONSHIP OF PARTIES
The Designer is an independent contractor and is not an employee of the Client.
GOVERNING LAW
This Agreement shall be construed in accordance with the laws of the United Kingdom.
DISPUTE RESOLUTION
Any disputes arising from this Agreement shall be resolved through mediation, and if necessary, legally through the courts of the United Kingdom.
ENTIRE AGREEMENT
This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written.
AMENDMENT
This Agreement may be modified or amended if the amendment is made in writing and is signed by both parties.
SEVERABILITY
If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.
